• This communiqué, signed by Alhaji Issa Abdullahi, Chairman, and Dr. Onyebuchi Egbuchunam, General Secretary of the Caretaker Committee, reflects the members’ resolve to safeguard their organization’s values, ensuring NIDOE’s continued success as a voice for Nigerians in Europe.

In a landmark decision underscored by strong member support, the Nigerians in Diaspora Organization Europe (NIDOE) recently held an Emergency General Meeting (EGM) on October 26, 2024, to address pressing leadership and governance concerns. Over 170 registered members from NIDOE’s European chapters gathered in compliance with the NIDOE Constitution and the UK Companies Act 2006. In an overwhelming majority vote, members passed a motion of no confidence in the Central Executive Council (CEC) and the Electoral Committee (EC), resulting in their immediate dissolution.

*Background of the Dissolution Decision

The vote to dissolve the CEC, led by Dr. Bashir Obasekola, and the EC, led by Mr. Ayo Adesina, reflects deep-rooted concerns over alleged management inefficiencies, constitutional breaches, and financial accountability lapses. The decision signals a collective demand for improved transparency and accountability within NIDOE, as well as a return to the organization’s core values and mission.

*Formation and Composition of the Caretaker Committee

Following the dissolution of the CEC and EC, the general assembly appointed a seven-member Caretaker Committee (CC) to oversee the organization’s operations and ensure a fair and transparent election within the next year. The committee members were chosen for their diverse backgrounds, experience, and commitment to the organization’s mission. The newly appointed members are:

1. Alhaji Issa Abdullahi (Switzerland) – Chairman  

2. Vire Komolafe (Ireland)- Vice Chair  

3. Dr. Onyebuchi Egbuchunam (Germany) – General Secretary  

4. Kalu Okoroafor (France)- Treasurer  

5. Folashade Ope (UK South) – Public Relations Officer  

6. Busola Agboola (Netherlands) – Financial Officer  

7. Dr. Valentine Nwodo (Italy) – Social & Welfare Officer  

This Caretaker Committee has been vested with full legal authority, in alignment with both NIDOE’s Constitution and EU association laws, to guide the organization through this transitional phase.

*Mandates and Compliance Requirements

The EGM issued a directive requiring the dissolved CEC and EC to hand over all NIDOE assets, documents, and financial records within seven days, no later than November 4, 2024. This handover is seen as essential for the Caretaker Committee to establish transparency and re-establish financial accountability. Additionally, a temporary suspension of chapter remittances to the central account has been enacted until further notice.

*Legal Foundation and Members’ Rights

The EGM and the formation of the Caretaker Committee draw legal justification from the UK Companies Act 2006, specifically Sections 303 and 304, which empower members to call an EGM to address organizational issues when deemed necessary. The CEC’s failure to respond to member requisitions previously has been deemed a violation of these sections, substantiating the members’ legal right to take corrective action. Further legal grounding rests on Articles 56 and 57 of the NIDOE Constitution and the EU Charter of Fundamental Rights, which safeguard the rights of association and self-governance for NIDOE members.

*Consequences of Non-Compliance

Should the dissolved CEC and EC fail to comply with the EGM’s lawful resolution, they may face legal repercussions under UK corporate law. Non-compliance could lead to penalties for obstructing member rights, potential fines, and even civil action if necessary. The Caretaker Committee has indicated its intention to uphold the legal decisions of the EGM and take further action to protect NIDOE’s integrity if required.

*Appeal for Unity and Collaboration

The Caretaker Committee has extended an appeal to all NIDOE members, urging unity and cooperation in this transitional period. This call for collaboration emphasizes a shared commitment to rebuilding trust and enhancing organizational transparency. The Committee reaffirms its dedication to the organization’s principles, ensuring that this transition upholds NIDOE’s integrity and its mission to serve the interests of Nigerians throughout Europe.
